SERVICE AGREEMENT

1. Introduction

This service agreement (the “Agreement”) is between TitleMyCart Inc - A Montana Company (the “Company”) and you (the “Customer”). You agree that this agreement is the same as any written negotiated agreement signed by you. By accepting this agreement, either by clicking a box indicating your acceptance or electronically placing an order for a product or service that references this agreement, you agree to the terms of this agreement. This agreement is enforceable against you and, if applicable, to any legal entity on whose behalf the product or service is provided. The company may change, add, or remove any part of this agreement, or any part of the product or service, at any time. If any future changes to this agreement are unacceptable to you, you should refuse to accept any updated terms proposed to you by the company and you must discontinue using the product or service.

2. Customer Representations

By using our services, you represent and warrant that all information provided is accurate, current, and complete. You further represent that you are the lawful owner of the vehicle and possess all necessary rights to submit the required documentation for service.

3. Definitions and Claims

a. Claimant
A “Claimant” is any person who asserts that their property has been misappropriated.

b. Conveying Customer
A “Conveying Customer” is a person who submits the required documentation to the company for purposes such as VIN assignments.

c. Misappropriated
“Misappropriated” refers to property that has been stolen, embezzled, converted, or otherwise wrongfully appropriated, yet is submitted as if it were lawfully owned.

4. Vehicle Ownership and Legal Compliance

a. No Ownership Verification
TitleMyCart Inc. does not verify vehicle ownership. Our services are provided on the assumption that you, the customer, are the lawful owner of the vehicle. It is solely your responsibility to ensure that the vehicle is not stolen or unlawfully obtained.

b. Proof of Ownership Required Prior to the commencement of any service, customers must provide valid proof of ownership

Acceptable documentation may include a title, bill of sale, registration, and any other legally required certificates or permits. You are responsible for ensuring that your vehicle complies with all applicable legal, safety, and regulatory standards.

c. Compliance with Legal Requirements
Customers must confirm that their vehicle meets all applicable regulations and safety standards before requesting any services. Any service rendered is contingent upon the vehicle satisfying these legal requirements.

5. Prohibition of Illegal Activity

a. Illegal Activity Disclaimer
TitleMyCart Inc. strictly prohibits any attempt to legalize or register stolen or unlawfully obtained property. Submitting a vehicle that is stolen, misappropriated, or obtained through illegal means is unlawful. In such cases, we reserve the right to refuse service and may report suspicious activity or falsified documentation to the appropriate law enforcement authorities.

6. Right to Refuse Service

TitleMyCart Inc. reserves the right to refuse or discontinue service at any stage if:

  • The vehicle appears to be stolen or unlawfully obtained.
  • Required ownership documentation is missing, inconsistent, or falsified.
  • The vehicle fails to meet necessary legal, safety, or regulatory standards.

In such instances, the decision to decline service is final, and you will not be entitled to any compensation or remedy.

7. Claims Regarding Held Goods

For any claims regarding purchased or pledged goods held by TitleMyCart Inc., the definitions provided in Section 3 apply. Any assertion of misappropriation must be substantiated by the appropriate documentation and process.

8. Acknowledgment

By requesting or using our services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You further affirm that you are the lawful owner of the vehicle and that all provided documentation is accurate and valid.

9. Legal Disclaimer

The information and services provided by TitleMyCart Inc. are offered on an “as is” basis without any warranties, express or implied, including, but not limited to, warranties of merchantability or fitness for a particular purpose. We do not warrant that our services will be uninterrupted or error-free and shall not be liable for any damages arising from their use.

10. Arbitration

Any dispute arising from or related to this Agreement or your use of our services shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted on an individual basis, and class arbitrations are not permitted.

11. Limitation of Damages

In no event shall TitleMyCart Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising out of or related to this Agreement or the use of our services. Our total aggregate liability shall not exceed the amount you paid for the relevant service.

12. Force Majeure

TitleMyCart Inc. shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, or government actions.

13. Indemnification

You agree to indemnify, defend, and hold harmless TitleMyCart Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services, violation of this Agreement, or infringement of any rights of any person or entity.

14. Severability

If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent.

15. Waiver

The failure of TitleMyCart Inc. to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. No waiver is effective unless it is in writing and signed by an authorized representative of TitleMyCart Inc.

16. Consents

By using our services, you consent to this Agreement and agree to all terms contained herein, including any future modifications. Your continued use of our services constitutes your ongoing consent to be bound by the terms as updated from time to time.

17. Attorney Fees

In any action or proceeding to enforce this Agreement, the prevailing party shall be entitled to recover its reasonable attorney fees and costs from the other party.

18. Valid and Binding Agreement

This Agreement constitutes a valid and binding agreement between you and TitleMyCart Inc. - A Montana Company, and shall be enforceable in accordance with its terms. By accepting this Agreement, you agree that it shall govern your use of our services and any disputes that may arise therefrom.
